1. Parties

a) DeriClub, which operates the website http://www.dericlub.com.tr with its headquarters at Yeşilyurt Mah. 797 sokak No:6/B, Salihli-İzmir yolu 2. Km EGEMAX AVM, 45310 Salihli / Manisa ................ Branch: Meşrutiyet Mah. Hacı Mansur Sk. No:4/A Nişantaşı / Şişli / İstanbul 

(hereinafter referred to as “DeriClub”).

b) The individual who has registered as a member of the website  http://www.dericlub.com.tr  (hereinafter referred to as the “Member”).

 

2. Subject of the Agreement

The purpose of this Agreement is to define the terms and conditions under which the Member may benefit from the services provided via the website  http://www.dericlub.com.tr owned and operated by DeriClub.

 

3. Rights and Obligations of the Parties

3.1. The Member declares and undertakes that the personal and other information provided during registration is accurate and lawful, and agrees to indemnify DeriClub immediately and in full for any losses incurred due to the inaccuracy of such information.

3.2. The Member shall not share the password provided by DeriClub with any third party or entity. The Member is solely responsible for the use of this password. DeriClub reserves all rights to claim compensation for unauthorized use of the password and for any claims or demands that may be made by third parties or authorities as a result.

3.3. The Member agrees in advance to comply with all applicable laws while using the website and not to violate them. In case of violation, the Member shall bear all legal and criminal liability solely and exclusively.

3.4. The Member shall not use the website in a manner that is contrary to public order, general morality, or the rights of others, nor for any unlawful purposes or in a way that infringes upon intellectual or copyright rights of others. The Member shall also refrain from any activity that may interfere with or prevent other users from accessing the services (e.g., spam, viruses, Trojan horses, etc.).

3.5. All opinions and comments expressed by Members on the website are their own personal views and bind only the individual expressing them. These views do not reflect the views of DeriClub, and DeriClub accepts no responsibility for any damages arising from such opinions, whether to third parties or to the Member.

3.6. DeriClub shall not be liable for any damages to the Member’s data or software caused by unauthorized access. By using the site, the Member agrees in advance not to claim compensation for any damages suffered.

3.7. The Member undertakes not to access or use other users' data or software without permission. The Member bears all criminal and legal liability for any such actions.

3.8. If the Member violates one or more of the clauses of this Agreement, they shall be personally liable, both criminally and civilly, and DeriClub shall be held harmless. In such cases, DeriClub reserves the right to terminate the membership and to claim damages resulting from the violation.

3.9. DeriClub reserves the right to unilaterally delete the Member’s account and any associated files, documents, or data at any time. The Member accepts this right in advance, and DeriClub shall not be held liable for the consequences.

3.10. The website’s software and design are the property of DeriClub, and all related copyright and intellectual property rights are protected under applicable laws. These may not be used, acquired, or modified by the Member without authorization. Other brands and product names mentioned on the website are the trademarks of their respective owners and are similarly protected.

3.11. DeriClub may collect certain information for purposes such as improving the website or complying with legal obligations. This includes the name of the internet service provider, IP address, date and time of access, pages visited, and the referring web address.

3.12. DeriClub may disclose the Member’s personal information if legally required, or if it believes in good faith that such action is necessary to (a) comply with legal requirements or legal processes served on DeriClub, or (b) protect and defend the rights and property of DeriClub and its web platform.

3.13. DeriClub has taken reasonable measures to ensure the website is free of viruses and other harmful software. However, the Member is responsible for their own antivirus protection. By accessing the site, the Member accepts responsibility for any errors or damages to their own systems.

3.14. DeriClub reserves the right to change the content of the website, discontinue services, or delete user data at any time.

3.15. DeriClub may modify, update, or cancel the terms of this Agreement at any time without prior notice. All such changes shall become effective for all Members on the date of publication.

3.16. The parties agree that all electronic records maintained by DeriClub shall constitute valid and exclusive evidence in accordance with Article 287 of the Code of Civil Procedure and shall serve as an evidential contract.

3.17. By approving this Membership Agreement, the Member consents to receiving informational emails and SMS messages from DeriClub.

 

4. Termination of the Agreement

This Agreement shall remain in effect until the Member cancels their membership or DeriClub terminates it. DeriClub reserves the right to unilaterally terminate the Agreement in case of any breach by the Member.

 

5. Dispute Resolution

In case of any disputes arising from this Agreement, Istanbul Courts and Enforcement Offices shall have jurisdiction.

 

6. Enforcement

By registering as a Member, the user acknowledges that they have read and agreed to all provisions of this Membership Agreement. This Agreement becomes effective upon the completion of the registration process.
